1. Who We Are

BrokerWise TMS is operated by Bison Wise AI, LLC, an Arizona limited liability company (“BrokerWise,” “we,” “our,” or “us”). We provide a cloud-based transportation management system designed for freight brokerage operations.

This Privacy Policy applies to the BrokerWise TMS platform and any associated services, tools, or websites operated by Bison Wise AI, LLC, including brokerwisetms.com.

2. Information We Collect

We collect information in two ways: information you provide directly, and information generated through your use of the platform.

Information You Provide

• Account and profile information (name, email address, company name, role)
• Carrier records you enter into the system, including DOT and MC numbers, contact information, insurance details, and equipment types
• Load and freight transaction records you create or import
• Documents you upload, including bills of lading, proof of delivery documents, and carrier compliance documents
• Shipper contact information extracted from emails you authorize us to process

Information Generated Through Platform Use

• Log data and usage records created when you access and interact with the platform
• Authentication tokens and session data required to maintain secure access
• Error and diagnostic data collected to maintain platform reliability

Information We Do Not Collect

• We do not collect payment card information directly. Any billing is handled through third-party payment processors subject to their own privacy policies.
• We do not collect information from children. BrokerWise TMS is a business-to-business service not directed at individuals under 18.

3. Gmail and Email Data

You may revoke BrokerWise TMS’s access to your email account at any time through your Google Account settings or Microsoft 365 account settings. Revoking access will disable email-based automation features but will not affect load records already created.

4. How We Use Your Information

We use the information we collect exclusively to provide and operate the BrokerWise TMS platform. Specific uses include:

• Creating, managing, and tracking freight load records
• Automating document receipt, matching, and follow-up workflows
• Generating rate confirmations and delivering them to carriers
• Managing carrier records, compliance status, and QuickPay designations
• Maintaining your account and authenticating your sessions
• Providing customer support and responding to your inquiries
• Diagnosing and resolving technical errors
• Complying with applicable legal obligations

We do not use your data for advertising, behavioral profiling, or any purpose unrelated to providing the TMS service.

5. How We Share Your Information

We do not sell your personal information. We do not share your information with third parties for their independent marketing or advertising purposes.

We share information only in the following limited circumstances:

• Service providers: We engage trusted third-party technology providers to operate the platform, including cloud infrastructure, database hosting, document processing, and error monitoring. These providers access data only to perform services on our behalf and are contractually prohibited from using it for any other purpose. A current list of our subprocessors is available upon request.
• Legal requirements: We may disclose information if required to do so by law, court order, or governmental authority, or to protect the rights, property, or safety of BrokerWise, our users, or others.
• Business transfers: If Bison Wise AI, LLC is acquired, merged, or transfers substantially all of its assets, customer data may be transferred as part of that transaction. We will provide notice before your data becomes subject to a materially different privacy policy.
• With your consent: We may share information for other purposes with your explicit consent.

6. Data Retention

We retain your data for as long as your account is active or as needed to provide the service. Upon termination of your account or service agreement, we will delete or return your data within thirty (30) days of your written request. Backup copies are purged within sixty (60) days.

Default retention periods by data category:

• Load records, carrier records, shipper contact records: Retained for the duration of your active service agreement plus 90 days following termination.
• Raw email content: Not retained. Raw email content is discarded immediately after structured data fields are extracted.
• Authentication and access logs: Retained for 12 months from the date of the event.

7. Data Security

We implement appropriate technical and organizational measures to protect your information against unauthorized access, disclosure, alteration, or destruction. These measures include encrypted data storage, access controls, secure credential management, and environment isolation between development and production systems.

No system is completely secure. If we become aware of a security incident affecting your data, we will notify you in accordance with applicable law and our contractual obligations.

8. Your Rights and Choices

Depending on your location and applicable law, you may have the following rights with respect to your personal information:

• Access: Request a copy of the personal information we hold about you.
• Correction: Request correction of inaccurate or incomplete information.
• Deletion: Request deletion of your personal information, subject to our legal retention obligations.
• Portability: Request your data in a portable, machine-readable format.
• Opt-out of sale: We do not sell personal information. There is nothing to opt out of.

To exercise any of these rights, contact us using the information in Section 10. We will respond within the timeframes required by applicable law.

If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) as amended by the California Privacy Rights Act (CPRA). We honor these rights for all users regardless of location.

9. Governing Law

This Privacy Policy is governed by the laws of the State of Arizona, without regard to its conflict of law principles. Any disputes arising under this policy shall be resolved in accordance with the dispute resolution procedures in our Terms of Service.

10. Changes to This Policy

We may update this Privacy Policy from time to time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify users by email or through the platform. Your continued use of BrokerWise TMS after changes become effective constitutes your acceptance of the updated policy.
